Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Northwell Provisions Inc. ("Northwell", "Company", "we", "us") governing your use of the website order-littlecaesar.ca (the "Website") and all catering coordination services ("Services") offered by Northwell. By accessing the Website or engaging our Services, you agree to be bound by these Terms in their entirety.

2. Nature of Services

Northwell Provisions Inc. operates as an independent third-party catering coordination and event logistics provider. Our Services include, but are not limited to:

Acting as an intermediary between clients and local pizza franchise locations to facilitate bulk food orders
Coordinating large-scale catering for corporate functions, school programs, community events, and private celebrations
Managing event logistics including vendor communication, production scheduling, and delivery coordination
Providing fundraising consultation, campaign planning support, and post-event reporting

Northwell Provisions Inc. is not a restaurant, food delivery service, food manufacturer, or franchise of any restaurant brand. We are a standalone coordination company that facilitates bulk ordering on behalf of clients.

3. Fee Structure

Northwell generates revenue through the following fee model:

Coordination Fee: A fixed fee based on event scope, headcount, and complexity. This fee is disclosed in your estimate before any commitment is required.
Food Costs: Passed through at the franchise's standard published retail pricing. Northwell does not add any markup to food items.
Rush Surcharge: Orders placed with fewer than 3 business days notice may be subject to a rush coordination fee, disclosed prior to confirmation.
Cancellation Policy: Orders cancelled more than 48 hours before the scheduled event receive a full refund of all fees. Cancellations made within 48 hours of the event may be subject to a cancellation fee of up to 50% of the coordination fee.

All prices are quoted in Canadian Dollars (CAD) and are subject to applicable federal and provincial taxes (GST/HST/QST as applicable).

4. Third-Party Trademark Disclaimer

Northwell Provisions Inc. is not affiliated with, endorsed by, licensed by, or sponsored by Little Caesar Enterprises, Inc. or any of its subsidiaries or affiliates. "Little Caesars" is a registered trademark of Little Caesar Enterprises, Inc. Any reference to Little Caesars or related trademarks on this Website is made solely for the purpose of identifying franchise locations with which we may coordinate orders on behalf of our clients. Such use constitutes nominative fair use and does not imply any commercial relationship.

Franchise participation in fulfilling coordinated orders is at their sole discretion. Northwell does not represent or guarantee franchise availability.

5. Client Responsibilities

When engaging our Services, you agree to:

Provide accurate, complete, and truthful information in all estimates, forms, and communications
Respond promptly to requests for clarification from our coordination team
Ensure an authorized representative is present at the delivery location to receive the order
Disclose all dietary restrictions, food allergies, and special requirements at the time of ordering
Provide a valid delivery address accessible by standard commercial vehicles
Use the Website and Services only for lawful purposes

6. Order Workflow

Estimate Request: You submit event details through our online form or by contacting our team directly via email or phone.
Proposal Delivery: Northwell provides a detailed, itemized estimate within one (1) business day.
Order Confirmation: You accept the estimate and provide payment details to confirm the order.
Vendor Coordination: Our team places and actively manages the order with the franchise location.
Delivery & Verification: Food is delivered to your specified venue at the agreed time. Our team verifies order accuracy prior to handoff.

7. Payment Terms

Payment is due upon order confirmation unless alternative terms have been agreed in writing
Accepted payment methods include major credit cards (Visa, Mastercard, American Express), Interac e-Transfer, and corporate invoicing for qualified accounts
Qualified corporate clients may apply for NET-15 or NET-30 billing terms, subject to credit assessment
All invoices include our GST/HST registration number for tax reporting purposes
Late payments may be subject to interest at the rate of 1.5% per month on outstanding balances

8. Limitation of Liability

To the fullest extent permitted by applicable law:

Northwell is not liable for delays, errors, food quality issues, or shortages caused by the franchise fulfilling the order, nor for circumstances beyond our reasonable control (force majeure).
Our total aggregate liability for any claim arising from or related to our Services shall not exceed the coordination fee paid by you for the specific order giving rise to the claim.
Under no circumstances shall Northwell be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, business interruption, or loss of data.

We will use commercially reasonable efforts to resolve any issues that arise, including liaising with the vendor on your behalf to seek a remedy.

9. Indemnification

You agree to indemnify, defend, and hold harmless Northwell Provisions Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Website or Services, your breach of these Terms, or your violation of any applicable law.

10. Intellectual Property

All content on this Website — including text, graphics, logos (excluding third-party trademarks), design elements, and software — is the property of Northwell Provisions Inc. and is protected by Canadian copyright and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of this Website without our prior written consent.

11. Privacy

Your use of the Website and Services is also governed by our Privacy Policy, which details how we collect, use, store, and protect your personal information. By using our Services, you consent to the data practices described in the Privacy Policy.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

13. Modifications to Terms

Northwell reserves the right to modify, amend, or replace these Terms at any time. Updated Terms take effect immediately upon posting to the Website. Your continued use of the Website or Services after such modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with the Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Northwell Provisions Inc. regarding your use of the Website and Services. These Terms supersede all prior agreements, understandings, and representations.
